Terms of Service

1. Acceptance of Terms

By accessing the website of Skyfall Labs ("we," "us," or "our") or engaging our software development and automation services (collectively, the "Services"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.

We reserve the right to modify these Terms at any time. Your continued use of our Services constitutes acceptance of those changes.

2. Scope of Services

Skyfall Labs provides custom software engineering services, including but not limited to:

• SaaS Application Development (Web & Mobile)
• AI & Machine Learning Integration
• CRM/ERP Customization (Zoho, HubSpot, Salesforce)
• Legacy System Modernization

3. Payment Terms & Invoicing

3.1 Billing

Projects are billed according to the specific Statement of Work (SOW) signed by the client. We typically operate on two models:

• Fixed Price: 50% upfront deposit, remaining balance upon milestone completion.
• Time & Materials: Billed monthly based on hours logged by our engineering team.

3.2 Late Payments

Invoices are due upon receipt unless otherwise specified (e.g., Net 15). Late payments may incur a service charge of 1.5% per month. Skyfall Labs reserves the right to suspend development services or restrict access to deliverables if payments are more than 30 days overdue.

4. Intellectual Property (IP) Rights

4.1 Client Ownership

Upon full payment of all fees, the Client shall own the copyright to the "Custom Code" and "Deliverables" created specifically for their project.

4.2 Skyfall Background IP

Skyfall Labs retains ownership of its "Background Technology," including pre-existing code libraries, developer tools, and generic algorithms used to build the solution. We grant the Client a perpetual, non-exclusive, royalty-free license to use this Background Technology as part of the delivered software.

5. Project Timelines & Client Obligations

Successful software delivery requires active collaboration. The Client agrees to:

• Provide necessary credentials, assets, and feedback within 48 hours of a request.
• Appoint a single point of contact for decision-making.

Delays caused by the Client regarding assets or feedback will result in a corresponding extension of the project deadline.

6. Warranty & Support

We provide a 30-day Warranty Period following the final delivery of software. During this time, Skyfall Labs will fix any "Bugs" (deviations from the agreed scope) at no additional cost.

Exclusions: The warranty does not cover issues caused by:

• Changes made to the code by the Client or third parties.
• Updates to third-party APIs (e.g., a Google API change breaking a feature).
• Feature requests that were not in the original Scope of Work.

7. Limitation of Liability

To the maximum extent permitted by law, Skyfall Labs shall not be liable for any indirect, incidental, or consequential damages (including loss of data, revenue, or profits) arising from the use of our software.

Liability Cap: Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by the Client to Skyfall Labs for the specific project giving rise to the claim.

8. Confidentiality & Non-Solicitation

8.1 Confidentiality

Both parties agree to keep proprietary information (trade secrets, business logic, customer data) strictly confidential and use it only for the purposes of the project.

8.2 Non-Solicitation

The Client agrees not to solicit, hire, or contract directly with any employee or contractor of Skyfall Labs during the term of the project and for a period of 12 months thereafter.

9. Termination

Either party may terminate a project with written notice if the other party breaches these Terms. In the event of termination:

• The Client must pay for all work completed up to the termination date.
• Skyfall Labs will hand over all code and assets created up to that point, provided payment has been made.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from these Terms shall be resolved through arbitration in Islamabad, Pakistan, or through the competent courts of Islamabad.
